END-USER LICENSE AGREEMENT

This End-User License Agreement (“Agreement”) governs the use of software integrations and applications operated by Jarden Hardware, LLC, doing business as GNS Fasteners (“GNS Fasteners”).

1. PURPOSE

GNS Fasteners uses software applications and integrations for internal business purposes, including accounting, inventory management, product management, order processing, reporting, and related business operations.

2. AUTHORIZED USE

The application and related integrations are intended for use only by GNS Fasteners and persons authorized by GNS Fasteners.

No right is granted to sell, sublicense, distribute, copy, or commercially exploit the application except as expressly authorized by GNS Fasteners.

3. THIRD-PARTY SERVICES

The application may connect with third-party services, including Intuit QuickBooks.

Use of third-party services is also subject to the applicable terms, conditions, and policies of those service providers.

4. DATA ACCESS

The application may access business information that GNS Fasteners has authorized third-party services to provide. Such information may be used to perform authorized business functions, including accounting, inventory management, product management, reporting, and business administration.

5. SECURITY

Users must take reasonable measures to protect account credentials and prevent unauthorized access to the application and connected services.

6. INTELLECTUAL PROPERTY

The application, its configuration, and related materials are owned by or licensed to GNS Fasteners, except for third-party software, services, and intellectual property owned by their respective owners.

7. DISCLAIMER

The application is provided for GNS Fasteners' business use on an “as is” and “as available” basis to the extent permitted by applicable law.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, GNS Fasteners will not be liable for indirect, incidental, special, or consequential damages arising from use of the application.

9. TERMINATION

GNS Fasteners may discontinue or restrict access to the application at any time. Authorization to access connected third-party services may also be revoked at any time.

10. CHANGES TO THIS AGREEMENT

GNS Fasteners may update this Agreement periodically. Updates will be posted on this page with a revised “Last Updated” date.

11. GOVERNING LAW

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.
